OmegaOps End-User License Agreement

Please read this Agreement carefully. You confirm your acceptance of it on the secure Stripe checkout page when you subscribe — checking that box there is what makes this Agreement binding.

This is a license, not a sale. OmegaOps is licensed to you, not sold to you. You receive a limited, revocable, non-transferable right to use it on your licensed device under the terms below. All intellectual property remains with Omega Trove LLC.

1. Parties & acceptance

This End-User License Agreement (“Agreement” or “EULA”) is a binding contract between you (“you,” “Licensee”) and Omega Trove LLC, doing business as Omega Trove Consulting (“Omega Trove,” “we,” “us”), for the OmegaOps desktop application together with its bundled recipes, updates, and documentation (collectively, the “Software”). You accept this Agreement by (a) checking the acceptance box on the Stripe checkout page, (b) activating a license key, or (c) installing or using the Software — whichever happens first. If you do not agree, do not activate or use the Software. This Agreement is entered into between you and Omega Trove regarding the Software. A separate Terms & Conditions and Privacy Policy are planned but not yet published; until they are, this Agreement is the sole governing document for your license, and Section 7 below describes our current data practices.

2. License grant

Subject to your compliance with this Agreement and payment of the applicable fees, Omega Trove grants you a limited, revocable, non-transferable, non-sublicensable license to install and use the Software on the number of devices your plan permits (by default, one primary device), for your own internal or business use. Your license key is bound to your device by a one-way hardware fingerprint. This license lasts for your subscription term, and grants access to the Software — not ownership of it.

3. License restrictions

The Software ships with a device-binding fingerprint and a server-backed license and activation mechanism. Except only to the extent applicable law expressly permits otherwise despite this restriction (and only to that extent), you will not, and will not permit or help any third party to:

4. Ownership & intellectual property

The Software, its source and compiled forms, the OmegaOps name and brand, and all related intellectual property are and remain the exclusive property of Omega Trove LLC and its licensors. You receive only the limited license expressly granted in Section 2. All rights not expressly granted are reserved.

5. Activation, device-binding & license mechanism

Activation binds your license key to a one-way fingerprint of your device and to a per-install identifier, and the Software periodically confirms with the licensing hub that the license is still valid and still on the licensed device. You consent to this activation and periodic verification, and to the exchange of your license key, device fingerprint, install identifier, and build identifier with the hub for the purpose of licensing, anti-piracy, and support.

6. Term & termination

This Agreement is effective from your acceptance and continues until terminated. Your license is revocable and terminates automatically if (a) you breach this Agreement, including any restriction in Section 3; (b) your subscription lapses, or a payment fails, is reversed, or is charged back; or (c) we are required to end it by law. On termination you must immediately stop using the Software and delete all copies in your control. Revocation is checked the next time your installed Software contacts the licensing hub (a heartbeat) — access does not necessarily end at the same instant your subscription is cancelled.

7. Data & privacy

OmegaOps is local-first: your chats, files, screens, terminal activity, and your own third-party API keys stay on your device and are not sent to the licensing hub. The hub exchanges only what licensing needs — your license key, device fingerprint, install identifier, usage counter, software version, build identifier, and connecting IP address.

8. No warranty

The Software is provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, Omega Trove LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Software or this Agreement. Our total aggregate liability for any claim relating to the Software is capped at the amount you paid us for OmegaOps in the twelve (12) months preceding the claim.

10. Governing law & disputes

This Agreement is governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles, and the exclusive venue for any dispute is the state or federal courts located in Orange County, Florida, to whose jurisdiction you consent.

11. Entire agreement

This Agreement is the entire agreement between you and Omega Trove regarding the Software and supersedes any prior understanding on its subject matter. If any provision is held unenforceable, the rest remains in effect. Questions: info@omegatrove.com.
